Welcome to Character AI! These Terms of Use ("Terms", "Agreement") govern your access to and use of the Character AI website, applications, APIs, and any related services (collectively, the "Services") provided by Character AI ("we," "us," or "our").

Please read these Terms carefully before using our Services. By accessing, browsing, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you are strictly prohibited from using or accessing the Services.

1. Eligibility and Account Registration

To use certain features of the Services, you may be required to register for an account. By creating an account, you represent and warrant that:

• You are at least 13 years of age (or the minimum age of digital consent in your country). If you are under 18, you represent that you have your parent or legal guardian's permission to use the Services.
• All registration information you submit is accurate, truthful, and up-to-date.
• You will maintain the security and confidentiality of your account password and login credentials.
• You accept full responsibility for any and all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

2. Nature of the AI Service and Disclaimers

Character AI provides a platform that allows users to interact with artificial intelligence models designed to simulate human conversation. By using our Services, you expressly acknowledge and agree to the following:

• Fictional Content: The responses generated by the AI characters are entirely fictional, even if they are based on historical figures or real people. The AI does not possess sentience, consciousness, or real-world knowledge.
• No Professional Advice: You understand that the AI models may generate inaccurate, misleading, or entirely false information (commonly known as "hallucinations"). Under no circumstances should the AI's output be construed as professional, legal, medical, financial, or psychological advice. Always consult a certified professional for real-world issues.
• Unpredictability: Due to the nature of machine learning, the AI may occasionally generate responses that are offensive, inappropriate, or contrary to our guidelines, despite our best efforts to implement safety filters. You use the Services at your own risk.

3. User Conduct and Acceptable Use

We strive to maintain a safe, creative, and welcoming environment for all users. You agree not to use the Services to:

• Violate any applicable local, state, national, or international law or regulation.
• Generate, upload, or promote content that is illegal, highly graphic, violently threatening, or constitutes non-consensual sexual content.
• Harass, bully, dox, or intimidate other users or use the AI to generate targeted harassment against real individuals.
• Attempt to bypass, disable, or interfere with our safety filters, moderation systems, or any security-related features of the Services.
• Use automated scripts, bots, scrapers, or data mining tools to extract data from the Services without our explicit written consent.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

We reserve the right to investigate and take appropriate legal or administrative action against anyone who, in our sole discretion, violates this provision, including terminating or suspending your account.

4. Intellectual Property Rights

4.1 Our Intellectual Property

The Services, including but not limited to the underlying software, algorithms, AI models, website design, graphics, text, and trademarks, are the exclusive property of Character AI and its licensors. These Terms do not grant you any right, title, or interest in the Services or our intellectual property, except for the limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use.

4.2 User-Generated Content

You retain any ownership rights you have in the character definitions, prompts, messages, and input you provide to the Services ("User Content"). However, by submitting User Content to the Services, you grant Character AI a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform, and display your User Content for the purposes of operating, improving, and promoting the Services (including training our AI models, subject to our Privacy Policy).

5. Third-Party Links and Services

Our Services may contain links to third-party websites, applications, or services that are not owned or controlled by Character AI (including affiliate links). We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You acknowledge and agree that Character AI shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party sites.

6. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, CHARACTER AI DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHARACTER AI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THIS SERVICE.

IN NO EVENT SHALL THE TOTAL LIABILITY OF CHARACTER AI TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO CHARACTER AI IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR FIFTY US DOLLARS ($50.00), WHICHEVER IS GREATER.

8. Indemnification

You agree to defend, indemnify, and hold harmless Character AI, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Services, including, but not limited to, your User Content.

9. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms. If you wish to terminate your account, you may simply discontinue using the Services or delete your account through your account settings.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
